1. Introduction

These Terms and Conditions ("Terms") govern access to and use of all digital platforms, websites, subdomains, partner-branded deployments, mobile applications, APIs, and related services operated by Skelta Limited ("Skelta", "we", "our", "us").

These Terms apply to:

  • skelta.co.ke
  • app.skelta.co.ke
  • Any partner-branded subdomain
  • Any future Skelta-operated deployment

By accessing or using the Platform, you agree to be legally bound by these Terms.

If you do not agree, you must discontinue use immediately.

2. Nature of Services

2.1 Platform Role

Skelta provides digital infrastructure that enables:

  • Insurance quotation
  • Policy comparison
  • Policy placement facilitation
  • Integration between intermediaries and licensed insurers
  • Workflow automation and data exchange

Skelta:

  • Does not underwrite insurance risk
  • Is not an insurance company
  • Does not guarantee issuance of any policy
  • Does not guarantee claim approval
  • Does not make underwriting decisions

All insurance contracts are concluded between the User and a duly licensed insurer.

3. User Obligations

By using the Platform, you agree to:

3.1 Accuracy of Information

  • Provide complete, true, and accurate information.
  • Update information when changes occur.
  • Avoid submitting false, misleading, or fraudulent data.

3.2 Compliance with Law

  • Use the Platform only for lawful purposes.
  • Not use the Platform to commit fraud, misrepresentation, or regulatory violations.

3.3 Account Security

  • Maintain confidentiality of login credentials.
  • Immediately notify Skelta of unauthorized access.

3.4 Prohibited Conduct

Users shall not:

  • Reverse engineer the Platform.
  • Copy, scrape, or reproduce system content.
  • Attempt unauthorized access to systems.
  • Interfere with platform security mechanisms.

Failure to comply may result in suspension or termination.

4. Partner Obligations

This section applies where the Platform is accessed via a partner-branded subdomain.

Partners must:

  • Be duly licensed where required under the Insurance Act (Cap 487).
  • Comply with all applicable regulatory requirements.
  • Ensure lawful marketing and distribution conduct.
  • Comply with the Kenya Data Protection Act, 2019.
  • Maintain confidentiality of user data.

Where required, Skelta and the Partner shall execute a separate Data Processing Agreement.

5. Data Protection

5.1 Legal Framework

Skelta processes personal data in accordance with:

  • The Kenya Data Protection Act, 2019
  • Regulations issued by the Office of the Data Protection Commissioner (ODPC)

5.2 Lawful Processing

Personal data is processed on the following lawful bases:

  • User consent
  • Performance of a contract
  • Compliance with legal obligations
  • Legitimate business interests
  • Protection of vital interests

5.3 User Consent

By submitting information through the Platform, you:

  • Consent to processing of personal data for insurance quotation and placement
  • Consent to sharing of relevant data with licensed insurers
  • Consent to risk assessment processing
  • Consent to fraud prevention screening

Consent may be withdrawn in writing, subject to legal and contractual limitations.

5.4 Data Sharing with Insurers

Skelta may share personal data with:

  • Licensed insurance companies
  • Reinsurers where required
  • Regulated intermediaries
  • Payment service providers
  • Regulatory authorities (including IRA and ODPC)

Data shared is limited to what is necessary for underwriting, compliance, and risk assessment.

Skelta does not sell personal data.

5.5 Data Retention

Personal data may be retained:

  • For the duration of the insurance relationship
  • As required under insurance and financial record retention laws
  • For up to seven (7) years or longer if legally required

5.6 User Rights

Under the Kenya Data Protection Act, users have the right to:

  • Access their personal data
  • Request correction of inaccurate data
  • Request deletion (subject to legal limits)
  • Object to processing
  • Withdraw consent
  • Lodge complaints with the ODPC

6. Intellectual Property

All intellectual property rights in:

  • Software
  • Platform design
  • Databases
  • APIs
  • Branding
  • Logos
  • Content
  • Algorithms

Are owned by or licensed to Skelta.

Users and Partners may not:

  • Reproduce platform architecture
  • Reverse engineer system logic
  • Copy proprietary processes
  • Use Skelta trademarks without written consent

Unauthorized use may result in legal action.

7. Limitation of Liability

To the fullest extent permitted by law, Skelta shall not be liable for:

  • Insurance claim rejections
  • Underwriting decisions
  • Policy cancellations
  • Insurer insolvency
  • Incorrect information provided by users
  • Delays caused by third parties
  • Loss of profits or indirect damages

8. Termination

8.1 By Skelta

Skelta may suspend or terminate access if:

  • The User breaches these Terms
  • Fraud or misrepresentation is suspected
  • Regulatory violations are identified
  • System misuse occurs

Termination may be immediate without prior notice in serious cases.

8.2 By User

Users may discontinue use at any time.

However:

  • Existing insurance contracts remain binding between the User and the insurer.
  • Regulatory data retention obligations may still apply.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Kenya.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

Where appropriate, disputes may first be referred to mediation or arbitration in Kenya.

10. White-Label Deployments

Where the Platform is accessed through a partner-branded subdomain:

  • The partner may act as introducer, intermediary, or distributor.
  • Skelta provides underlying digital infrastructure.
  • Insurance contracts are concluded between the User and licensed insurers.
  • Skelta does not assume underwriting risk.

11. Amendments

Skelta may amend these Terms from time to time.

Updated versions will be posted on the Platform.

Continued use constitutes acceptance of updated Terms.
